1. Agreement to Terms

By accessing and using the Einova Ventures Consultants FZ-LLC website (einovavc.com) and our services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, you must not use our website or engage our services.

These Terms constitute a legally binding agreement between you ("Client," "you," or "your") and Einova Ventures Consultants FZ-LLC ("Einova Ventures," "we," "us," or "our"), a company registered and operating in Dubai, United Arab Emirates.

2. Services Description

Einova provides the following business consultancy services in the UAE:

• Mainland Company Formation: Business setup in Dubai, Abu Dhabi, Sharjah, and other emirates under DED licensing
• Free Zone Company Formation: Company registration in UAE free zones including DMCC, JAFZA, DIFC, and 40+ other zones
• Offshore Company Formation: Offshore company registration in Jebel Ali, RAK ICC, and Ajman
• PRO Services: Employment visa processing, residency permits, license renewals, and government liaison
• Corporate Services: VAT registration, accounting, bookkeeping, auditing, and corporate compliance

Our services are advisory and consultancy in nature. We act as intermediaries between clients and UAE government authorities. Final approvals for company formation, visas, and licenses are at the sole discretion of the relevant UAE authorities.

3. Client Obligations

As a client, you agree to:

• Provide accurate, current, and complete information as required for your service request
• Supply all necessary documents (passports, visas, Emirates IDs, etc.) in a timely manner
• Respond promptly to our communications and requests for additional information
• Pay all agreed-upon fees and government charges as specified in your service agreement
• Comply with all applicable UAE laws and regulations relating to business formation
• Not use our services for any unlawful purpose or activity

4. Fees and Payment

4.1 Service Fees

• Service fees will be communicated to you in writing before any engagement commences
• Fees are exclusive of government charges, licensing fees, visa costs, and applicable VAT (5%)
• Government fees are subject to change by the relevant authorities without prior notice

4.2 Payment Terms

• Payment is required as outlined in your individual service agreement
• We accept payment via bank transfer, credit/debit card, or other agreed-upon methods
• All payments are denominated in UAE Dirhams (AED) unless otherwise agreed

4.3 Refund Policy

• Consultation fees are non-refundable once the consultation has been provided
• Service fees may be partially refundable if work has not commenced with government authorities
• Government fees paid on your behalf are non-refundable as they are paid directly to UAE authorities
• Refund requests must be submitted in writing to info@einovavc.com

5. Timelines and Delivery

While we make every effort to complete services within the estimated timelines communicated to you:

• Processing times are estimates only and may vary depending on government authority workloads
• Delays caused by incomplete documentation, government processing backlogs, or public holidays are beyond our control
• We will keep you informed of any significant delays and their reasons
• Einova shall not be liable for any losses arising from delays in government processing

6. Limitation of Liability

• Einova acts as a consultancy and intermediary; we do not guarantee approval of any application by UAE government authorities
• Our aggregate liability for any claim arising from our services shall not exceed the amount of fees paid by you for the specific service in question
• We shall not be liable for any indirect, incidental, consequential, or punitive damages, including but not limited to loss of business, revenue, or profits
• We are not liable for any decisions or actions taken by UAE government authorities regarding your applications
• Information on our website is provided for general guidance and does not constitute legal, financial, or tax advice

7. Intellectual Property

All content on the Einova website — including text, graphics, logos, images, designs, and software — is the property of Einova Ventures Consultants FZ-LLC and is protected by UAE and international copyright laws.

• You may not reproduce, distribute, modify, or create derivative works from our content without written permission
• The "Einova" name, logo, and branding are trademarks of Einova Ventures Consultants FZ-LLC
• Unauthorized use of our intellectual property may result in legal action

8. Website Use

When using our website, you agree not to:

• Use the website in any way that violates UAE laws or regulations
• Attempt to gain unauthorized access to our systems or networks
• Transmit malware, viruses, or other harmful code
• Use automated tools (bots, scrapers) to extract data from our website
• Submit false or misleading information through our forms

9. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of services. This obligation survives the termination of the service relationship. Exceptions include information required to be disclosed by law, regulation, or court order.

10. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the United Arab Emirates. Any disputes arising from these Terms or our services shall be:

• First attempted to be resolved amicably through direct negotiation
• If unresolved, submitted to mediation in Dubai
• If mediation fails, subject to the exclusive jurisdiction of the courts of Dubai, UAE

11. Termination

Either party may terminate the service engagement by providing written notice to the other party. Upon termination:

• All outstanding fees for completed work become immediately due and payable
• Government fees already submitted on your behalf are non-refundable
• We will return any original documents provided by you within 14 business days
• Confidentiality obligations continue to apply after termination

12. Changes to These Terms

We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated "Last updated" date. Your continued use of our website or services after such modifications constitutes your acceptance of the revised Terms.
